Service Agreement
A detailed Service Agreement will be provided outlining specific terms, scope, deliverables, and pricing for each service requested by the client (“Client”). This agreement must be signed by both parties before any services are rendered.
Client Obligations
Clients must provide accurate and complete information necessary for us to perform the services. Any delay or failure to provide such information may result in delays or inability to perform the services.
Payment Terms
a. Invoices: Invoices will be issued according to the schedule specified in the Service Agreement.
b. Payment Due Date: Payments are due within 30 days of the invoice date, unless otherwise agreed upon in writing.
c. Late Payments: Late payments may incur interest at a rate of 1.5% per month.
Confidentiality
Both parties agree to keep all information, documentation, and data related to the other party confidential and not to disclose it to any third party without prior written consent, except as required by law.
Intellectual Property
Any intellectual property developed by Afriam International during the course of providing services shall remain the property of Afriam International unless otherwise agreed upon in writing.
Data Protection
We adhere to applicable data protection laws and regulations. Clients are responsible for ensuring that any data provided to us complies with these laws.
Limitation of Liability
a. No Warranty: Services are provided “as is” without any warranties, express or implied.
b. Liability Cap: Our liability is limited to the amount paid by the Client for the services that gave rise to the liability.
c. No Consequential Damages: We shall not be liable for any indirect, incidental, or consequential damages.
9. Termination
Either party may terminate the Service Agreement with 30 days’ written notice. In the event of termination, the Client will pay for all services rendered up to the termination date.
10. Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, or natural disasters.
13. Amendments
We reserve the right to amend these Terms at any time. Clients will be notified of any significant changes. Continued use of our services constitutes acceptance of the revised Terms.
